Listi Partners Portal: Business Terms and Conditions

 

Effective Date: July 19, 2025

By registering and listing your business on the Listi Partners Portal (hereinafter "Listi," "we," "us," or "our"), you agree to be bound by the following Terms and Conditions. Listi Partners Portal is a sole establishment registered under Dubai Tourism and Economy license number 1523229, acting primarily as a portal for businesses and users (sellers/referrers).

 

1. Definitions

 

For the purpose of these Terms and Conditions:

  • "Listi Portal" refers to the online platform accessible at Listi.ae, operated by Listi Partners Portal.

  • "Business(es)" refers to any registered company, freelancer, B2B/B2C product seller, real estate entity (including real estate agents), or provider of bonuses/rewards (vouchers, coupons, financial products) listing their offerings on the Listi Portal.

  • "User(s)" / "Referrer(s)" refers to individuals or other businesses who browse the Listi Portal to discover and participate in referral reward programs offered by Businesses.

  • "Listing" refers to the published profile or offering of a Business on the Listi Portal, detailing their services/products and associated referral rewards.

  • "Reward Program" refers to the specific terms and conditions set forth by a Business for compensating a User/Referrer for a successful referral, as listed on the Listi Portal.

  • "Content" refers to all text, images, logos, media, and any other information provided by the Business to Listi for display on the portal.

  • "Beta Version" refers to the current operational phase of the Listi Portal, indicating that it is still under development and testing.

 

2. Scope of Service

 

Listi is an online portal that provides a platform for Businesses to list their service offerings and associated referral rewards. We facilitate connections between Businesses and potential Referrers.

  • Listi doesn't fund, provide, or guarantee any commission or reward for any Business or User.

  • Listi doesn't intermediate in any commission or reward matters between a Business and a User. All arrangements for referral rewards are solely between the listing Business and the Referrer.

 

3. Registration and Business Verification

 

Listi reserves the sole right to reject any registration or to remove any Listing at our discretion, especially if it violates these Terms and Conditions, involves copyright infringement, or includes other miscellaneous activities. Businesses must provide full, accurate, and original information during onboarding.

We'll use your Trade License, Emirates ID, or Visa to verify your Business details. You must tell us immediately if your Business license expires or if your Business closes. If any legal issues arise because of expired licenses, Business closures, or other non-compliance, you're 100% solely liable, and Listi Partners Portal won't take responsibility. You're fully responsible for all associated legal fees.

 

4. Fees and Payments

 

By registering with Listi, you agree to the following fees:

  • Onboarding Fee (Registration Fee): A one-time fee due when you first register your Business on the portal.

  • Monthly Listing Fee: A recurring monthly fee to keep your Listings active. If you don't pay this fee on time, a penalty fee will apply, and your Listings will be removed within 1 to 7 days.

  • Portal Admin Fee / Content Change Fee: A AED 250 fee applies for any future edits or amendments to your Listing content after the initial onboarding. We strongly recommend filling in all details accurately during onboarding to avoid these charges.

  • Contact Person Details Change Fee: A AED 100 fee applies for any changes to your registered contact person's details.

  • Repayment Penalty Fee: A AED 100 fee applies if a monthly payment or any other fee is missed and then paid.

  • Reactivation Fee: A AED 200 fee applies if your Listings were removed due to non-payment and you want to reactivate them.

  • Front Page Highlights Fee: This is an optional promotional feature. Your brand cards can be listed on the front page of the portal. Since spots are limited, pricing varies based on demand. Contact us at hi@listi.ae for more details.

All specific onboarding and monthly listing fees for your Business will be communicated during registration via email, WhatsApp, or phone call. Fees can change based on market demand, and we'll notify you in advance of any changes.

Payment Methods:

We use Stripe for secure payment processing for monthly subscriptions, onboarding fees, and other charges. If you prefer a bank transfer, we'll send you our bank details. We accept payments in Dirhams (AED), US Dollars (USD), and Euros (EUR), depending on the card types Stripe supports. We'll inform you beforehand if there are any changes to our bank details or payment gateway.

Refund Policy:

We generally don't offer refunds once onboarding or listing submission is complete. However, we might consider refund requests on a case-by-case basis due to serious technical failure or administrative error on Listi's part. If extra charges are applied after offboarding or cancellation, and we agree to a refund, it will be processed within 15 to 20 days. You agree to this refund policy.

VAT:

We're currently not applicable to charge VAT. We might add this later as per UAE law.

The following table summarizes the fees associated with using the Listi Partners Portal. Please note that specific dynamic fees will be communicated at the time of onboarding.

5. Contact Person and Communication

 

You agree to provide a designated contact person who represents your brand. This individual's details will be listed on your public profile. You must tell us immediately about any changes to this contact person's details. Changes will be processed within 2 to 10 working days and are subject to the Contact Person Details Change Fee (AED 100) mentioned above.

The portal is active 24/7, and Users (Referrers) can contact your listed contact person at any time. If they contact you outside regular business hours, that's solely between you and the Referrer, and Listi won't provide tools to restrict user contact times. We encourage Businesses and Users to respect local business hours when reaching out directly to one another unless mutually agreed otherwise.

You authorize Listi to contact you during or after business hours for business-related matters. As per UAE law, we primarily contact you during business hours. If you need information or support outside business hours and choose to contact us via WhatsApp or email, you agree that we may respond anytime, including for promotional or business requirements.

 

6. Contact Details Disclosure and User Access

 

By giving us your business contact details and those of your designated representative during onboarding, you explicitly agree that Listi can publish these details on the Listi Partners Portal. This might include your WhatsApp number, mobile/landline telephone number, email address, LinkedIn profile, business website, and other social platform handles, if you've provided them.

You understand and agree that registered Users and Referrers on the Listi Partners Portal can access these contact details for legitimate business and referral purposes, as outlined in our Privacy Policy and these Terms. Listi will share these contact details only after getting genuine, transparent, and revocable consent from your Business or the designated contact person.

This disclosure complies with the UAE Personal Data Protection Law (Federal Decree Law No. 45 of 2021) and its regulations. Your data will only be displayed for the stated business purposes related to your Listing. You acknowledge that the platform provides this access to help Users and Business representatives communicate directly.

If you want to update, restrict, or remove any of your published contact details, you can email hi@listi.ae with the subject line "Contact Removal - [Your Business Name]". We'll process these requests within 3 to 5 working days and honor them as required by law.

By completing your registration and providing these details, you confirm you're authorized to share such contact information and grant the necessary consent for its use as stated above. UAE law prioritizes the protection and privacy of all personal data, with significant penalties for improper disclosure or handling.

 

7. User Access and Listing Visibility

 

Your Business Listing on the Listi Portal will be shared with you via screenshot for verification. Full User access and the ability to view your complete Listing within the portal might require separate User access registration, which could be included in a package or charged separately.

 

8. User / Referrer Code of Conduct

 

Users and Referrers are expected to act ethically, avoid misrepresentation, and not misuse contact information from the Listi Portal. Platform abuse, including spam, harassment, or fraudulent referral attempts, can lead to immediate suspension and potential legal action.

 

9. Referral Rewards and Agreements

 

Listi won't process or agree to pay commission or rewards to Users. We're a portal that only lists your Reward Programs. As a Business, you must have a separate agreement with the User (Referrer) who brings a lead. This agreement must clearly state the terms and reward value you'll give the User.

This agreement between your Business and the User MUST NOT disclose or use Listi's business name, website, or brand name for any reason. We'll take legal action if you use our brand without our explicit written consent. You'll be liable for court fees and other legal payments resulting from such unauthorized use.

 

10. Referral Reward Listing on Listi

 

Listi currently supports two types of reward listings:

  • Percentage-based rewards: A reward calculated as a percentage of a transaction value.

  • Flat amount rewards (fixed value): A specific, fixed monetary amount as a reward.

As the Business, you need to give Listi your specific terms and conditions for your Reward Program. These terms will be clearly shown on your Listing within the Listi Portal. Your Reward Program terms and conditions must not conflict with, amend, or try to override Listi's Terms and Conditions. Listi will list your preferred reward value, but it must be realistic and can be up to a maximum of 50% reward value. Your reward value reflects your Business's reputation. You're not allowed to change Listi's terms and conditions for any reason. Any attempt to do so will result in legal action against you.

 

11. Content Usage for Promotion and Marketing

 

Your contact profile should ideally show an original photo of your designated contact person. If you prefer not to use their picture, we'll use a graphical dummy representation. All images, including those of employees or people, that you share for use on our portal must be provided with their express consent. Listi won't be responsible for any future issues regarding the consent or usage of these images; the Business is fully responsible for this.

By agreeing to these terms, you give Listi full permission to use your Content (brand logo, photos, or media). This Content will be used for our content creation and promotion, including graphics, PDFs, videos, reels, text, or animation content, in any media publication. You authorize us to promote your Content on any media platform without needing your second approval. This includes, but isn't limited to, platforms like LinkedIn, Instagram, Threads, X, TikTok, our website, Facebook, media channels, YouTube channels, radio, newspapers, magazines, e-magazines, and e-portals that support articles and blogs. We'll also collaborate by co-branding your Content with our brand for our promotion.

License to Display Business Branding: You grant Listi a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and publish your brand content (including logos, trade name, and media) for promotional purposes in line with these Terms.

 

12. Data Access and Website Performance (Beta Version)

 

To maintain design consistency, performance, and accurate Content on our beta platform, Businesses currently can't directly access their Listing's backend to self-edit. All changes must be requested through our admin team, with a nominal fee for processing.

The Listi.ae web portal is currently in a beta testing version. This means some parts of the platform are still under development and might have occasional bugs, performance delays, or changes to layout and functionality. You agree to use the portal in this phase fully understanding its beta status, and you waive any claims related solely to limitations caused by this status. You agree that you won't complain about the website model or speed, as Listi.ae is still in beta testing.

Beta User Feedback Clause: As part of the Beta stage, Listi may collect user feedback, suggestions, or ideas to improve platform functionality. You grant Listi a royalty-free, worldwide, perpetual license to use, reproduce, or implement any suggestions you make, with no obligation for credit or compensation.

 

13. Conduct and Legal Actions

 

Businesses must ensure no miscommunications or miscellaneous activities with Users or promoting Listi negatively in any form. In such cases, Listi has the full authority to take legal action against the offending party.

If a Business reports inappropriate behavior from a User, we'll issue a warning or restrict the User from our portal based on the issue's severity. Listi can ignore/block any User who deliberately distracts your Business operations. Any conflict between a User and a Business is an external matter, and Listi won't participate in resolving such disputes. Businesses are expected to be vigilant and conduct proper due diligence. You must perform KYC (Know Your Customer) and AML (Anti-Money Laundering) checks on Users with proper due diligence when they contact you, to avoid future issues.

 

14. Brand Usage and Advertising

 

Businesses are not allowed to copy, paste, or reproduce Content from our portal. Sharing our brand name or value without our explicit email consent in any media (social media, ads, publications, newspapers, radio, or TV channels) is strictly prohibited. You must get prior written approval from Listi before advertising using our brand name. Unauthorized use will result in legal action.

 

15. Brand Reputation and Online Conduct

 

By registering or interacting with the Listi Partners Portal (Listi.ae, "Listi"), you explicitly agree to the following regarding our brand reputation and online conduct:

You are strictly prohibited from posting, publishing, commenting, or sharing any form of negative, defamatory, misleading, or harmful content about Listi, Listi Partners Portal, Listi.ae, Listi mobile applications, or any affiliates on public or private platforms, including but not limited to:

  • Google Reviews

  • Trustpilot

  • Glassdoor

  • Reddit

  • LinkedIn

  • Instagram

  • Facebook

  • Threads

  • Twitter (X)

  • YouTube

  • Any websites, blogs, forums, messaging apps, or media channels.

This applies whether such content is shared in the form of text, image, video, comment, caption, story, reel, thread, or any other media format.

Defamation, slander, insult, or any unjustified attempt to harm Listi’s commercial reputation or credibility is a criminal offence under Federal Decree-Law No. 34 of 2021 on Combatting Rumors and Cybercrimes (UAE Cybercrime Law), Article 43 and related provisions.

You understand and acknowledge that freedom of expression is not absolute under UAE law, and any public statement that harms the reputation, image, or integrity of Listi can result in:

  • Legal action under UAE civil and criminal laws

  • Financial compensation claims

  • Fines and potential imprisonment under relevant cybercrime provisions

The proper and lawful way to report any concern, complaint, or dispute with Listi is via our official communication channel at hi@listi.ae. We are committed to resolving legitimate issues professionally and fairly.

Honest Feedback Policy: Businesses and users agree to provide honest, factual feedback about their experience with Listi. While we respect freedom of expression, we prohibit:

  • FALSE or DEFAMATORY statements that can be proven untrue.

  • Coordinated fake review campaigns or spam.

  • Disclosure of confidential business information.

  • Personal attacks on individuals rather than service feedback.

    Legitimate concerns should first be reported to hi@listi.ae within 30 days. We commit to addressing valid complaints promptly and professionally.

If you are found to have willfully published or participated in the publication of malicious reviews, misleading feedback, or unwarranted negative publicity without our express written consent or without following official complaint procedures, Listi reserves the full right to pursue legal remedies, including reporting the matter to authorities, filing a cybercrime case, and pursuing damages.

This clause applies to all businesses, users, referrers, employees, affiliates, and third parties interacting with Listi in any capacity, regardless of nationality or location, if the content relates to our UAE-registered brand or portal.

 

16. Intellectual Property Rights

 

All content, software, design elements, branding, graphics, logos, visual interfaces, and platform features of Listi.ae and its associated apps are the exclusive intellectual property of Listi Partners Portal unless stated otherwise.

Users and Businesses are strictly prohibited from copying, reproducing, reverse-engineering, decompiling, or distributing any part of the platform or its system architecture without prior written approval.

Unauthorized use of any intellectual property belonging to Listi will result in legal action.

 

17. Affiliate Links, Tracking & Analytics

 

Listi may include third-party tracking links, cookies, or affiliate tracking mechanisms on certain Listings or referral submissions. These are used only for analytics, performance monitoring, or monetization purposes and don't represent an endorsement or partnership unless explicitly stated.

By using the portal, you agree to basic tracking and link attribution mechanisms essential for platform operation. For more details, refer to our Cookie Policy and Privacy Policy.

 

18. API, Integrations & Data Sharing

 

In the future, Listi may offer selected partners user interfaces or API (Application Programming Interface) integrations for lead tracking, analytics, or campaign management. Unauthorized use or integration attempts are strictly prohibited. Access to proprietary APIs or system data will only be provided through explicit legal agreement.

 

19. Prohibition on Soliciting Other Businesses on the Platform

 

Users and Businesses are strictly prohibited from using Listi as a marketing platform to directly solicit, poach, or promote their own unrelated services to other Users or Businesses listed on the portal, including through contact details obtained via listings. Any misuse will result in immediate account suspension and potential legal action.

 

20. No Guarantee of Business Leads or Revenues

 

Listi doesn't guarantee the number of leads, conversions, earnings, revenue, sales, or visibility duration your Listing may receive. All listing outcomes depend on various market factors, user demand, and platform performance, which are beyond Listi’s control.

 

21. Service Term, Interruption & Account Management

 

 

21.1. Service Interruption & Scheduled Maintenance

 

Listi reserves the right to temporarily suspend the platform or restrict service availability for updates, maintenance, or unforeseen issues. While we'll try to notify you in advance during planned downtime, we won't be liable for service interruptions or loss of listing performance during such periods.

 

21.2. Inactive Account Policy

 

If your Business Listing remains both unpaid and inactive for a continuous period of 60 days, we may mark your account as dormant. We reserve the right to permanently delete such accounts after prior notice.

 

21.3. Termination of Service

 

Listi reserves the right to terminate your Listing or registration WITHOUT NOTICE in case of:

  • Repeated violations of these Terms and Conditions.

  • Unresolved fee payments.

  • Engagement in illegal activity.

  • Actions that harm Listi's reputation or business interests in any form.

Businesses can terminate their registration by providing written notice to hi@listi.ae. No refunds will be issued for any unused portion of listing or onboarding fees if the Business initiates termination.

 

22. Limitation of Liability

 

To the maximum extent allowed by law, Listi won't be liable for any indirect, incidental, punitive, special, or consequential damages (including but not limited to lost profits, data, or business interruption) arising from your use of the Listi Portal or participation in the referral reward program, even if Listi was advised of such damages.

Listi makes no guarantees, representations, or warranties regarding the number or quality of leads, conversion rates, or the quality of Users. Your use of the portal and any interactions with Users are entirely at your sole risk and discretion.

 

23. Third-Party Services Disclaimer

 

Listi isn't liable for issues arising from third-party services like payment gateways (e.g., Stripe), APIs, or external tools used on the platform. Your use of such services is governed by their respective terms and conditions, and Listi isn't responsible for their performance or any resulting disputes.

 

24. Force Majeure

 

Listi won't be liable for any failure or delay in fulfilling its obligations under these Terms and Conditions due to events beyond our reasonable control. These include, but aren't limited to, acts of God (e.g., natural disasters), acts of government, war, civil unrest, acts of terrorism, epidemics, pandemics, technical failures, power outages, internet disruption, or any other unforeseen circumstance beyond our control.

 

25. Confidentiality

 

You agree not to disclose any confidential or proprietary information shared by Listi, whether in writing, digitally, or verbally, to third parties unless legally required or with our prior written consent. This includes, but isn't limited to, information about our system structure, non-public User data, internal communications, business strategies, and pricing. This confidentiality obligation continues even after your registration with Listi ends.

 

26. Indemnification

 

You agree to indemnify, defend, and hold harmless Listi, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your Listing or Content on the Listi Portal.

  • Your violation of these Terms and Conditions.

  • Your independent referral agreements or interactions with Users.

  • Any breach of applicable laws, regulations, or third-party rights by you or your representatives.

 

27. Changes to Terms and Conditions

 

Listi reserves the right to update, modify, or amend these Terms and Conditions anytime to reflect changes in our services, legal requirements, or business practices. We'll notify you of such changes via your registered email address, prominent notices on the Listi Portal, or other appropriate methods. Your continued use of the Listi Portal after any changes means you accept the updated Terms.

 

28. Privacy and Data Collection

 

We collect and store your Business data (like contact name, trade license, media, and branding content) only for verification, Listing, and promotional use. By submitting your details, you consent to this use. We comply with applicable UAE data privacy regulations, such as Federal Decree-Law No. 45 of 2021 regarding Personal Data Protection. For more details on how we collect, use, and protect your data, please see our Privacy Policy at www.listi.ae/privacy (link to be updated when available).

 

29. Governing Law and Jurisdiction

 

These Terms and Conditions will be governed by and interpreted according to the laws of the United Arab Emirates. Any disputes arising from or related to these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

 

30. Dispute Resolution

 

If any dispute arises from or in connection with these Terms and Conditions, the parties will first try to resolve it amicably through good-faith negotiations. If the dispute isn't resolved after 30 days of such negotiations, either party can refer the dispute to the courts of Dubai, UAE, in accordance with Clause 29.

 

31. Disclaimer

 

These Terms and Conditions are specifically created for Business Listings on the Listi Partners Portal. By registering, you understand that this is a dedicated portal for your Business data. Listi operates solely as an online platform and does not maintain a physical operational office in Dubai.

32. Optional Generic Listing Feature (Brand Privacy)

 

Competition or competitors may see your Listing on our portal. Upon request during onboarding, Listi offers an additional feature for Business brand privacy. If you choose this feature, your Listing will appear in a generic segment, and all terms and conditions and other contact-related links associated with your Listing must be unbranded. This allows us to hide your brand name while still showcasing your Reward Program. This feature is available upon specific request only.

 

33. Support Service Level Agreement (SLA)

 

To ensure a smooth and transparent experience for all our partners, Listi is committed to delivering prompt and effective support. This Support SLA outlines our service expectations and response times:

Partners can reach our support team through the following official channels:

  • Email: hi@listi.ae

  • Social Media Messaging: Direct messages via our official Listi pages on platforms such as Instagram, Facebook, and LinkedIn.

Response Times:

Our support team strives to respond to all inquiries within the following timeframes:

  • High Priority Issues (e.g., login problems, reward tracking errors): within 4 business hours.

  • Standard Requests (e.g., listing updates, general questions): within 1 business day.

  • Low Priority/Informational Queries: within 2 business days.

Business Hours:

Support is available Sunday to Friday, from 9:00 AM to 6:00 PM Gulf Standard Time (GMT+4). Messages received outside these hours will be responded to on the next working day.

Resolution Commitment:

Most standard issues are resolved within 2 business days. For more complex matters, we will provide regular status updates until resolution.

Escalation Path:

If your concern remains unresolved or requires urgent escalation, you may flag it directly in your message subject line or contact our team again through the original channel with [URGENT] in the subject/message.

 

Acceptance of Terms

 

By registering and/or continuing to use the Listi Portal and its services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, our Privacy Policy, and any other policies referenced herein.
